Terms of Service

By accessing the website sanganixai.com or engaging Sanganix AI for the development, deployment, or consulting of artificial intelligence and automation solutions, you (the "Client") agree to be bound by these Terms of Service.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Sanganix AI provides bespoke automation architecture, Agentic AI development, and cloud infrastructure management. Our deliverables may include, but are not limited to, custom Python scripts, n8n workflow orchestrations, and dedicated hosting environments on Google Cloud Platform (GCP) or Oracle Cloud Infrastructure (OCI).

The specific scope of work, deliverables, and timelines will be detailed in a separate Statement of Work (SOW) or Master Services Agreement (MSA).

To ensure the successful deployment of our services, the Client agrees to:

• Provide timely and secure access to necessary third-party systems, CRM credentials, and environment variables.
• Maintain active and valid subscriptions to any underlying software or SaaS platforms required for the automation to function.
• Ensure that the use of our automated workflows complies with all applicable local, state, and national laws, particularly concerning data privacy and automated communications.

• Client Ownership: The Client retains all intellectual property rights to their proprietary business data, raw inputs, and the final data outputs generated by the deployed automations.
• Sanganix AI Ownership: Sanganix AI retains all intellectual property rights, title, and interest in our pre-existing foundational code blocks, custom Python libraries, structural frameworks, and proprietary methodologies ("Vertical Accelerators") used to deliver the service. The Client is granted a non-exclusive, non-transferable license to use the developed workflows solely for their internal business operations during the active term of the agreement.

Sanganix AI architectures heavily rely on integrations with third-party applications, APIs, and external cloud services. Sanganix AI shall not be held liable for system downtime, financial losses, or data pipeline disruptions resulting from:

• Unannounced updates, deprecations, or modifications to third-party API endpoints.
• Regulatory or platform-level security changes, such as the enforcement of strict 24-hour API token expiration limits by financial, trading, or external platforms.
• Outages or latency issues stemming from third-party cloud hosting providers or external network failures.

Our custom automations and Agentic AI solutions are provided on an "as is" and "as available" basis. While Sanganix AI builds robust error-handling into our code, we do not warrant that the services will be completely error-free or uninterrupted, given the volatile nature of external web services and internet infrastructure.

To the maximum extent permitted by applicable law, in no event shall Sanganix AI be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to the use or inability to use our services.

Sanganix AI's total aggregate liability under these Terms shall not exceed the total amount paid by the Client to Sanganix AI for the specific services giving rise to the claim in the three (3) months preceding the event.

Both parties agree to hold all confidential and proprietary information — including business processes, technical architecture, and sensitive access tokens — in strict confidence. Neither party shall disclose such information to any third party without the prior written consent of the other, except as required by law or as necessary to perform the services outlined in an active SOW.

These Terms of Service and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the federal laws of India.

Any legal actions, suits, or proceedings arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts of India.
